Welcome to Nairally. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “Contractor,” “Client,” or “Tenant”) and Magbad Technology Ltd. (“Company,” “Nairally,” “we,” “us,” or “our”), a Canadian corporation registered under Alberta Corporate Access Number B.103608 and British Columbia Incorporation Number BC1493161.
By registering an account, initializing a project workspace, or utilizing any portion of our software infrastructure at nairally.app (the “Platform”), you explicitly agree to comply with and be bound by these Terms. If you do not agree to these Terms, you are strictly prohibited from utilizing the Platform.
1. Nature of Services and Software Architecture
Nairally is a decoupled, headless B2B project management software utility, milestone tracking dashboard, and Developer Escrow-as-a-Service (EaaS) infrastructure provider. Nairally is a technology company and does not operate as a bank, credit union, depository institution, or direct consumer money services business (MSB).
All inbound transaction clearing, ledger accounting, and multi-currency vaulting are executed securely through our authorized international B2B financial clearinghouse networks (including Braintree and Payoneer Platform Architecture (Citibank, N.A.)) operating under their respective regulatory licenses. Nairally provides the software visualization, automated oracle data tracking, and milestone release execution scripts.
2. Multi-Currency Settlement and Funding Corridors
The Platform supports five global inbound presentment and settlement currencies: United States Dollars ($ USD), Canadian Dollars ($ CAD), British Pounds (£ GBP), Euros (€ EUR), and Australian Dollars ($ AUD). Users can fluidly select their base transactional denomination at contract initialization. All outbound international cross-border remittances are securely executed down to our 13 authorized regional African destination networks via integrated partner API nozzles (including Flutterwave).
3. The Dual-Track Processing Platform Fee Matrix
Nairally charges a flat, transparent platform infrastructure fee per completed milestone deliverable. We enforce a strict surchargeless model; fees are cleanly extracted from the milestone base or appended on top based on the creator’s explicit Fee Allocation Strategy chosen inside the workspace. The fee structure operates on two distinct operational tracks:
- Track A (Credit Card / PayPal Processing): Subject to a flat 4.5% platform infrastructure fee.
- Track B (Direct Bank Transfer Clearing): Subject to a discounted flat 2.5% platform infrastructure fee.
To maintain eligibility for Track B (2.5%), buyers must transmit funds strictly via local domestic clearing networks (such as ACH, SEPA, EFT, or Faster Payments). Any user attempting to force an international SWIFT wire transfer will be subject to a flat $20.00 USD intermediary network fee penalty levied by the clearing house, and milestone security locks will be paused until the ledger balance reconciles.
Transparent infrastructure fees
4.5% for credit card/PayPal or 2.5% for direct bank transfer, in every protection mode. No fixed fee or protection surcharge. Choose buyer-added, recipient-deducted, or 50/50 split allocation.
Payment method
| Allocation | Basis | Amount (CAD) |
|---|---|---|
| Base value | Invoice principal | $1,000.00 CAD |
| Infrastructure fee | 4.5% × base | $45.00 CAD |
| Buyer invoice total | Base amount | $1,000.00 CAD |
| Freelancer receives | Base − 4.5% | $955.00 CAD |
Any positive decimal amount is accepted. Currency selection denominates the example; no live exchange-rate conversion is performed.
Illustrative sandbox allocation. No real funds are collected or released in this environment.
4. Milestone Protection & the Dual-Signature Quality Network
Funds processed through our integration networks remain vaulted securely within institutional trust clearing accounts during the project lifecycle. Payout release routes strictly according to the verification parameters chosen during initialization:
- Direct Settlement Mode (Default Opt-Out): Bypasses holding parameters; funds clear and route instantly to the recipient’s wallet with zero delivery delays.
- Automated Machine Oracle Verification: Programs background visual nodes to track data oracles, monitoring GitHub repository branch merges for digital deliverables or live global shipping carrier APIs (DHL/FedEx) for physical trade cargo manifests.
- Manual Discretionary Release: Bypasses automated nodes entirely. Funds are locked securely in the trust vault, and the contract creator retains 100% control to click “Approve & Release” inside their dashboard only when completely satisfied with the deliverable inspection.
5. Unrestricted Transaction Limits & Prohibited Use
Nairally enforces no arbitrary caps, transaction limits, floors, or ceilings on verified corporate contract volumes, making the platform fully capable of supporting enterprise-scale physical commercial cargo staging and digital enterprise milestones.
Users are strictly prohibited from utilizing Nairally, its software endpoints, or its partner banking infrastructure for any restricted activities listed in our Acceptable Use Policy, including but not limited to: cryptocurrency transactions, speculative token sales, virtual assets, or dealings involving any global sanctioned nations or regions (including Russia, Iran, Cuba, North Korea, and Syria).
6. Corporate Substance and Governing Law
These Terms shall be governed by, interpreted, and enforced in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. All core operational ledger tracking, compliance oversight, and technical quality controls are managed from our principal headquarters: Office 1478ResCo-work01, 14th Floor, First Edmonton Place, 10665 Jasper Avenue, Edmonton, AB, T5J 3S9, Canada. Customer support inquiries must be routed through support@nairally.app.
