This Escrow & Refund Policy (“Escrow Policy”) outlines the mechanisms governing the funding, vaulting, verification, and disbursement of milestone-based transaction capital managed inside the software interface of Nairally, operated by Magbad Technology Ltd. (“Company”, “we”, “us”, or “our”).
By initializing a collaborative project workspace or executing a payment transaction at nairally.app (the “Platform”), you explicitly accept this Escrow Policy.
1. Platform Architecture and Roles
Nairally acts exclusively as an independent, Escrow-as-a-Service (EaaS) software platform and automated workflow supervisor. We do not provide banking custody or direct deposit-taking services.
All client capital is vaulted securely within encrypted, ring-fenced international trust clearing accounts managed natively via our regulated partner financial clearinghouse networks (Braintree and Payoneer Platform Architecture (Citibank, N.A.)). Nairally provides the programmatic software triggers, automated oracle listening links, and milestone release orchestration scripts.
2. Multi-Currency Deposit and Processing Fees
The Platform supports five global presentment and settlement currencies: US Dollars ($ USD), Canadian Dollars ($ CAD), British Pounds (£ GBP), Euros (€ EUR), and Australian Dollars ($ AUD). Platform transaction fees are calculated cleanly based on the chosen payment method track:
- Track A (Credit Card / PayPal Processing): Subject to a flat 4.5% platform infrastructure fee.
- Track B (Direct Bank Transfer Clearing): Subject to a discounted flat 2.5% platform infrastructure fee.
Transparent infrastructure fees
4.5% for credit card/PayPal or 2.5% for direct bank transfer, in every protection mode. No fixed fee or protection surcharge. Choose buyer-added, recipient-deducted, or 50/50 split allocation.
Payment method
| Allocation | Basis | Amount (CAD) |
|---|---|---|
| Base value | Invoice principal | $1,000.00 CAD |
| Infrastructure fee | 4.5% × base | $45.00 CAD |
| Buyer invoice total | Base amount | $1,000.00 CAD |
| Freelancer receives | Base − 4.5% | $955.00 CAD |
Any positive decimal amount is accepted. Currency selection denominates the example; no live exchange-rate conversion is performed.
Illustrative sandbox allocation. No real funds are collected or released in this environment.
2.1 The SWIFT Wire Penalty Clause
To maintain eligibility for the discounted 2.5% Bank Transfer rate, buyers must transmit funds strictly via local domestic clearing networks (ACH for USD, SEPA for EUR, EFT for CAD, Faster Payments for GBP). If a buyer forces an international SWIFT wire transfer, the transaction will be levied with a flat $20.00 USD network fee penalty by the clearinghouse, and milestone locks will be paused until the ledger balance reconciles.
3. The Dual-Signature Quality Verification Matrices
Once capital clears the inbound rails and updates to an “ESCROW_LOCKED” state, it remains completely ring-fenced and protected within the trust vaults. Payout execution to the contractor’s linked account (via Flutterwave) is programmatically locked until one of the three initialized quality tracks is completed:
- Direct Settlement Mode: For predefined low-risk collaborations, funds bypass holding parameters and route instantly straight to the recipient’s wallet with zero delivery delays.
- Automated Machine Oracle Verification: Background n8n visual nodes monitor cryptographic webhooks, automatically tracking GitHub repository Pull Request (PR) merges for digital code deliverables, or polling global logistics carrier APIs (DHL, FedEx) to verify terminal arrival events for physical B2B trade cargo.
- Manual Discretionary Release: The contract creator retains 100% manual discretion to inspect physical merchandise or digital deliverables, clicking the “[🔓 Approve & Release Funds]” button inside their dashboard only when completely satisfied with the quality of delivery.
4. Refund Compliance and Dispute Resolution
Because funds are locked securely within our partner gateway vaults, they cannot be unilaterally withdrawn by the buyer or prematurely claimed by the seller.
- Mutual Cancellation: A full refund of the vaulted milestone capital (minus the non-refundable gateway processing friction) will be dispatched instantly to the origin account if both the buyer and the freelancer mutually click “Cancel Contract” inside the Workspace.
- Dispute Arbitration Track: If a dispute is raised by either party, the transaction drops into an “ESCROW_DISPUTED” state. The entire workspace component tree freezes, locking subsequent milestones. Both parties have 14 business days to upload delivery manifests, cargo bills of lading, or code logs through the Unified Arbitration Hub (/disputes).
- Company Ruling: Nairally’s central compliance terminal retains absolute discretionary override authority to review the uploaded evidence and execute an atomic split or a single-sided release to the rightful counterparty. All corporate arbitration decisions are final.
5. Corporate Jurisdiction and Principal Headquarters
This Escrow Policy is governed under the federal laws of Canada and the provincial laws of Alberta. All automated ledger routing, escrow quality verification audits, and arbitration management are conducted from our principal operations terminal: Office 1478ResCo-work01, 14th Floor, First Edmonton Place, 10665 Jasper Avenue, Edmonton, AB, T5J 3S9, Canada. Sandbox limitations. Payment clearance, instant wallet settlement, n8n tracking, refunds, and backend release delivery are simulated. No real payment processing, fund custody, or provider verification is enabled.
